Terms & Conditions

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“you”, “your”, or “User”) and Colin Fairnie trading as Reliant Technologies (“we”, “us”, “our”, or “Reliant Technologies”) governing your access to and use of the Chavid platform, website, applications, and all associated services (collectively, the “Platform” or “Chavid”).

By accessing, browsing, registering for, or otherwise using Chavid in any manner whatsoever, you acknowledge that you have read, understood, and agree to be bound by these Terms in full, together with our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Platform and must not access or use Chavid in any way.

These Terms apply to all visitors, registered users, subscribers, and any other persons who access or use the Platform. Your continued use of Chavid following any update to these Terms constitutes your acceptance of the revised Terms. You must be at least 18 years of age to use Chavid. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

Chavid is a trading name and platform operated by Colin Fairnie trading as Reliant Technologies, a sole trader registered in Scotland. The Platform is owned, operated, and maintained by Reliant Technologies.

References in these Terms to “Chavid”, “the Platform”, “we”, “us”, or “our” are references to Colin Fairnie trading as Reliant Technologies and the Chavid platform collectively.

3.1 Ownership of Platform IP

All intellectual property rights in and to the Chavid platform — including but not limited to the platform name, logo, brand identity, design, look and feel, colour schemes, typography, iconography, user interface, user experience, layout, graphics, visual elements, source code, object code, software, algorithms, databases, data structures, application programming interfaces (APIs), documentation, technical specifications, marketing materials, advertising copy, promotional content, and all other content created by or on behalf of Reliant Technologies — are and shall remain the exclusive property of Colin Fairnie trading as Reliant Technologies. All rights are reserved.

The Platform and all of its constituent elements are protected by copyright, trade mark, database rights, design rights, and other intellectual property laws of the United Kingdom and international conventions. Nothing in these Terms transfers or assigns any intellectual property rights to you.

3.2 Trade Marks and Brand

The name “Chavid”, the Chavid logo, and all associated branding, slogans, and trade dress are registered or unregistered trade marks of Colin Fairnie trading as Reliant Technologies. You may not use the name “Chavid”, the Chavid logo, or any other trade mark, service mark, or brand element of Reliant Technologies without the prior express written consent of Colin Fairnie trading as Reliant Technologies. You may not use any name, mark, design, domain name, social media handle, or branding that is identical to, or confusingly similar to, “Chavid” or “Reliant Technologies”.

3.3 Prohibited Acts

You expressly agree that you will not, and will not permit or assist any third party to: copy, reproduce, republish, upload, post, transmit, distribute, publicly display, modify, adapt, translate, create derivative works from, reverse engineer, decompile, disassemble, attempt to derive the source code of, or otherwise exploit any part of the Platform or any intellectual property of Reliant Technologies, in whole or in part, in any form or by any means, whether electronic, mechanical, or otherwise, without the prior express written permission of Colin Fairnie trading as Reliant Technologies. Any such unauthorised use constitutes a material breach of these Terms and an infringement of our intellectual property rights.

3.4 Feedback and Suggestions

If you submit, provide, or communicate any feedback, suggestions, ideas, improvements, enhancement requests, recommendations, or other information relating to the Platform or our services (“Feedback”), you hereby irrevocably assign and transfer to Colin Fairnie trading as Reliant Technologies all intellectual property rights in and to such Feedback, without any compensation, attribution, or obligation to you whatsoever. We shall be free to use, reproduce, modify, adapt, publish, distribute, and commercialise such Feedback in any manner and for any purpose without restriction.

3.5 Enforcement

We take the protection of our intellectual property extremely seriously. Unauthorised use of any intellectual property owned by or licensed to Reliant Technologies may result in civil legal proceedings, including claims for injunctive relief, damages, and an account of profits, as well as referral to relevant criminal authorities where applicable. We reserve all rights and remedies available to us under applicable law.

To access certain features of the Platform, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to keep that information accurate, current, and complete at all times. You must promptly update your account information if it changes. Providing false, misleading, or inaccurate information is a breach of these Terms and may result in immediate account suspension or termination.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password. You must not share your login credentials with any other person or allow any other person to access your account. You are solely and entirely responsible for all activities that occur under your account, whether or not authorised by you. You must notify us immediately at [email protected] if you become aware of any unauthorised use of your account or any other breach of security.

You may only hold one account on the Platform. Creating multiple accounts for the same individual is prohibited. Accounts are personal and non-transferable; you may not sell, transfer, or assign your account to any other person.

We reserve the right, in our sole and absolute discretion, to suspend, restrict, or permanently terminate your account at any time, with or without notice, for any reason, including but not limited to a breach of these Terms, suspected fraudulent activity, or conduct that we consider harmful to the Platform, other users, or Reliant Technologies.

You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms and all applicable laws and regulations. You are solely responsible for ensuring that your use of the Platform complies with all applicable laws.

You must not use the Platform to:

• transmit, post, upload, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;
• infringe any patent, trade mark, trade secret, copyright, database right, or other intellectual property right of any person or entity;
• transmit any unsolicited or unauthorised advertising, promotional materials, spam, junk mail, chain letters, or any other form of unsolicited communication;
• transmit or upload any material that contains software viruses, worms, Trojan horses, ransomware, spyware, adware, or any other malicious or harmful code or program;
• impersonate any person or entity, including any employee or representative of Reliant Technologies, or falsely state or otherwise misrepresent your affiliation with any person or entity;
• engage in any form of automated data collection, scraping, crawling, harvesting, or extraction of data from the Platform without our prior written consent;
• attempt to gain unauthorised access to any part of the Platform, any account, computer system, or network connected to the Platform, by hacking, password mining, or any other means;
• interfere with or disrupt the integrity or performance of the Platform or the data contained therein;
• engage in any conduct that restricts or inhibits any other user from using or enjoying the Platform;
• use the Platform for any commercial purpose not expressly permitted by these Terms;
• facilitate or encourage any third party to do any of the above.

We reserve the right to investigate any suspected violation of these acceptable use provisions and to take any action we deem appropriate, including removing content, suspending or terminating accounts, and reporting conduct to law enforcement authorities.

The Platform may allow you to create, upload, post, transmit, share, or otherwise make available content, including but not limited to messages, files, images, video, audio, and any other material (“User Content”). You retain ownership of any intellectual property rights you hold in your User Content.

By submitting, posting, or transmitting User Content through the Platform, you grant Colin Fairnie trading as Reliant Technologies a non-exclusive, worldwide, royalty-free, sublicensable licence to store, reproduce, transmit, and process your User Content solely to the extent necessary to provide, maintain, and improve the Platform and deliver the services to you. This licence does not extend to any commercial exploitation of your User Content beyond what is necessary for service delivery.

You are solely and entirely responsible for all User Content that you create, upload, post, transmit, share, or otherwise make available through the Platform, including all content shared during video calls, in messages, in chat, or through any other feature of the Platform. This includes, without limitation, any personal information, names, telephone numbers, addresses, business information, financial information, payment details, personal data, sensitive personal data, or any other information that you choose to share with other users of the Platform.

Chavid operates as a conduit only. We do not monitor, review, or control the content of communications between users in real time. We do not endorse any User Content and expressly disclaim all liability in connection with User Content. You acknowledge and agree that Reliant Technologies and the Chavid platform bear no responsibility whatsoever for any information you choose to share with other users, for the actions taken by other users based on information you share, or for any consequences arising from your disclosure of information through the Platform.

You represent and warrant that: (a) you own or have the necessary rights, licences, consents, and permissions to submit your User Content and to grant the licence described above; (b) your User Content does not infringe any third-party intellectual property rights; and (c) your User Content complies with these Terms and all applicable laws.

7.1 Platform Provided “As Is”

The Platform is provided on an “as is” and “as available” basis, without any warranty of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Colin Fairnie trading as Reliant Technologies and the Chavid platform expressly disclaim all warranties, representations, and conditions of any kind, including but not limited to implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, title, accuracy, completeness, reliability, uninterrupted access, error-free operation, and freedom from viruses or other harmful components.

We do not warrant that the Platform will meet your requirements, that it will be available at any particular time or location, that any defects or errors will be corrected, or that the Platform is free of viruses or other harmful components. Any reliance you place on the Platform or any content available through it is strictly at your own risk.

7.2 Absolute Exclusion of Liability

To the fullest extent permitted by applicable law, Colin Fairnie trading as Reliant Technologies, its officers, employees, agents, contractors, licensors, and the Chavid platform shall have absolutely no liability whatsoever — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — for any loss, damage, cost, or expense of any nature arising out of or in connection with your use of, or inability to use, the Platform, including but not limited to:

• (a) any interruption, suspension, degradation, or termination of the service, whether planned or unplanned, temporary or permanent;
• (b) any loss, corruption, or destruction of data, messages, communications, files, or any other content stored on or transmitted through the Platform;
• (c) any technical failures, bugs, errors, defects, outages, downtime, or unavailability of the Platform or any part thereof;
• (d) any unauthorised access to, or alteration, theft, or destruction of, your account, data, or communications;
• (e) any content shared, transmitted, disclosed, or otherwise communicated by users during video calls, messaging, chat, or any other use of the Platform;
• (f) any personal information, names, telephone numbers, postal addresses, email addresses, business information, financial data, payment information, sensitive personal data, or any other information that you or any other user chooses to share, disclose, or transmit through the Platform;
• (g) any actions, decisions, or conduct of any other user of the Platform, including any actions taken based on information shared through the Platform;
• (h) any loss of business, loss of revenue, loss of profits, loss of anticipated savings, loss of goodwill, loss of opportunity, loss of data, or any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, howsoever arising;
• (i) any content, products, services, or conduct of any third party, including any third-party websites or services linked to or integrated with the Platform;
• (j) any reliance placed by you on the completeness, accuracy, or existence of any content, information, or material available through the Platform.

7.3 User Responsibility for Shared Information

Users are solely and entirely responsible for all information they choose to share, disclose, or transmit through the Platform, including during video calls, in messages, in chat, or through any other feature. Chavid and Reliant Technologies accept absolutely no responsibility for the consequences of any such sharing, including but not limited to any misuse of information by other users, any financial loss, any reputational damage, any breach of privacy, or any other harm arising from information you choose to disclose. You use the Platform at your own risk and you are solely responsible for exercising appropriate caution regarding what information you share with other users.

7.4 Cap on Liability

Where liability cannot be excluded by applicable law, the total aggregate liability of Colin Fairnie trading as Reliant Technologies and the Chavid platform to you for all claims arising out of or in connection with these Terms or your use of the Platform, whether in contract, tort, breach of statutory duty, or otherwise, shall not exceed the sum of fifty pounds sterling (£50.00).

7.5 Exceptions

Nothing in these Terms shall exclude or limit our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law. Subject to the foregoing, all other liability is excluded to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless Colin Fairnie trading as Reliant Technologies, its officers, employees, agents, contractors, licensors, and the Chavid platform from and against any and all claims, actions, proceedings, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with:

• your access to or use of the Platform;
• your User Content or any content you share, transmit, or disclose through the Platform;
• your breach of any provision of these Terms;
• your violation of any applicable law or regulation;
• your violation of any rights of any third party, including intellectual property rights, privacy rights, or contractual rights;
• any dispute between you and any other user of the Platform.

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with us in asserting any available defences.

The Platform may integrate with, link to, or make use of third-party services, applications, websites, or content that are not owned or controlled by Reliant Technologies (“Third-Party Services”). Such Third-Party Services may include, without limitation, payment processors, communication infrastructure providers, cloud hosting services, and analytics providers.

We have no control over, and assume no responsibility for, the content, privacy policies, practices, availability, or reliability of any Third-Party Services. We do not endorse any Third-Party Services. Your use of any Third-Party Services is entirely at your own risk and is subject to the terms and conditions and privacy policies of those third parties. We expressly disclaim all liability arising from your use of any Third-Party Services.

We may change, suspend, or discontinue any integration with Third-Party Services at any time without notice or liability to you.

10.1 Subscription Plans

Access to certain features of the Platform requires a paid subscription. Details of available subscription plans, including pricing and features, are set out on the Platform and may be updated from time to time. We reserve the right to introduce new plans, modify existing plans, or discontinue plans at any time, subject to providing reasonable notice to existing subscribers.

10.2 Free Trial

We may offer a free trial period to new users. The duration and terms of any free trial will be specified at the time of registration. Only one free trial is available per person and per business entity. We reserve the right to withdraw or modify free trial offers at any time. At the end of the free trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial period expires.

10.3 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). By subscribing, you authorise us and/or our payment processor to charge your designated payment method for the applicable subscription fee on each billing date. You are responsible for ensuring that your payment details are accurate and up to date. If a payment fails, we reserve the right to suspend or terminate your access to the Platform.

10.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation will take effect at the end of your current billing period. You will retain access to the Platform until the end of the paid period.

10.5 Refunds

All subscription fees are non-refundable except as required by applicable law. No refunds or credits will be issued for partial subscription periods, unused time, or periods during which your account was suspended due to a breach of these Terms. If you cancel your subscription, you will not receive a refund for any fees already paid for the current billing period.

10.6 Price Changes

We reserve the right to change our subscription prices at any time. We will provide you with reasonable advance notice of any price changes. Your continued use of the Platform after a price change takes effect constitutes your acceptance of the new pricing. If you do not agree to a price change, you must cancel your subscription before the change takes effect.

We reserve the right, in our sole and absolute discretion, to suspend, restrict, or permanently terminate your account and your access to the Platform at any time, with or without notice, and without liability to you, for any reason whatsoever, including but not limited to:

• any breach or suspected breach of these Terms;
• any conduct that we consider harmful, abusive, or inappropriate;
• any fraudulent, deceptive, or illegal activity;
• any failure to pay subscription fees when due;
• any request by law enforcement or regulatory authorities;
• any extended period of inactivity;
• any other reason at our sole discretion.

You may terminate your account at any time by contacting us at [email protected]. Upon termination of your account for any reason, your right to access and use the Platform ceases immediately. We are under no obligation to retain any of your data following termination, subject to our obligations under applicable data protection law. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law.

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. We will notify you of material changes by posting the updated Terms on the Platform and, where reasonably practicable, by sending you an email notification to the address associated with your account. The updated Terms will display the revised effective date at the top of the page.

Your continued access to or use of the Platform after any updated Terms have been posted constitutes your acceptance of and agreement to be bound by the revised Terms. If you do not agree to the revised Terms, you must immediately cease all use of the Platform and, if applicable, cancel your subscription. It is your responsibility to review these Terms periodically to stay informed of any updates.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Scotland.

You and Reliant Technologies irrevocably agree that the courts of Scotland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims). Nothing in this clause shall limit our right to seek injunctive or other equitable relief in any jurisdiction.

If you are a consumer resident in another part of the United Kingdom, you may also have the right to bring proceedings in the courts of your place of residence. Nothing in these Terms affects your statutory rights as a consumer under applicable law.
